1.Agreement to terms
These Terms & Conditions (the “Terms”) govern your access to and use of the uStreamline platform, websites, and services (collectively, the “Service”) operated by Crimond Enterprise (trading as uStreamline, “we”, “us”, or “our”), a business registered in Ghana with its principal place of business at 1237 Ga Odumase Road, Near Ga Odumase Mantse We, Ghana.
By creating an account, opening a storefront, placing an order, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.
The Service is offered to two distinct groups of users, and certain provisions apply only to one group:
- Shop Owners — merchants who use uStreamline to operate an online storefront. Sections 5, 7, 10, and 11 apply specifically to Shop Owners in addition to the general provisions.
- Shoppers — individuals who browse, message, or purchase from a Shop Owner's storefront. Section 6 applies specifically to Shoppers.
[REVIEW: confirm with counsel that these Terms appropriately reflect the marketplace model, including whether uStreamline is a party to the shopper-merchant sales contract or merely a facilitator. Several sections below assume a facilitator model.]
2.Definitions
- “Platform” means the uStreamline marketing site, storefront pages, dashboards, APIs, and WhatsApp automation services.
- “Shop Owner” means a registered merchant operating a storefront on the Platform.
- “Shopper” means a person who interacts with a storefront, places orders, or messages a shop bot.
- “Storefront” means the public-facing shop pages associated with a particular Shop Owner.
- “Order” means a purchase request submitted by a Shopper for goods or services offered by a Shop Owner.
- “User Content” means any content uploaded, submitted, or transmitted through the Platform by you, including product listings, images, text, and messages.
3.Eligibility
To use the Service, you must:
- Be at least eighteen (18) years old.
- Have legal capacity to enter into a binding contract.
- If acting on behalf of a business, be authorised to bind that business to these Terms.
- Not be barred from using the Service under the laws of Ghana or any other applicable jurisdiction.
4.Accounts & authentication
We use one-time-password (OTP) authentication delivered to your phone number to verify access. You are responsible for:
- Keeping your phone number, account credentials, and devices secure.
- All activity that occurs under your account, including activity by anyone you authorise.
- Notifying us promptly at notifications@ustreamline.com if you suspect unauthorised access.
- Providing accurate information and keeping it up to date.
We may refuse, suspend, or terminate accounts at our discretion where we reasonably believe these Terms have been breached or where required by law.
5.Shop-owner terms
If you are a Shop Owner, you additionally agree that:
- You are solely responsible for the products and services you list, their accurate description, pricing, availability, lawfulness, and quality.
- You are the seller of record for transactions on your storefront and are responsible for fulfilment, customer support, refunds, returns, and any taxes or duties that apply to your sales.
- You will only list goods and services that you are legally permitted to sell, and you will not list any item prohibited under Section 9.
- You will respond to Shopper enquiries and complaints in a reasonable timeframe and in good faith.
- You grant us a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, and distribute your storefront content for the purpose of operating the Service.
- You are responsible for complying with all applicable e-commerce, consumer protection, and data-protection laws in respect of your customers.
- You will keep any payout details accurate. You authorise us and our payment provider to settle funds collected from your Shoppers in accordance with the agreed payout schedule, less applicable fees and chargebacks.
6.Shopper terms
If you are a Shopper, you agree that:
- Each Order constitutes an offer by you to purchase the listed goods or services from the Shop Owner. The contract for sale is between you and the Shop Owner. uStreamline facilitates the transaction but is not the seller.
- Pricing, availability, descriptions, refunds, returns, and delivery are the responsibility of the Shop Owner.
- You will provide accurate information at checkout, including a valid phone number and delivery address where applicable.
- Disputes with a Shop Owner should first be raised directly with that Shop Owner. We may, at our discretion, assist in mediating disputes but are not obliged to do so.
- You will not abuse, threaten, or harass Shop Owners, their staff, or our automated assistants.
7.Payments, fees & refunds
Payments on the Platform are processed by a third-party payment provider in Ghana Cedis (GHS). By initiating a payment, you accept the payment provider's terms in addition to these Terms.
- Shop Owners may be charged platform fees, transaction fees, and any applicable taxes. The current fee schedule is communicated separately and may be updated on notice. [REVIEW: link to or include the current fee schedule, and describe how changes are notified.]
- Shoppers are charged only the amounts displayed at checkout (including any delivery or service fees specified by the Shop Owner).
- Refunds and returns are governed by the Shop Owner's policies and applicable consumer-protection law. uStreamline does not itself offer refunds for goods supplied by Shop Owners.
- Chargebacks initiated by a Shopper may be deducted from the corresponding Shop Owner's balance, together with reasonable handling fees.
8.WhatsApp & AI assistant
The Service includes an automated WhatsApp assistant that responds to Shopper messages on behalf of Shop Owners. You acknowledge that:
- Messages exchanged with the assistant may be processed by third-party AI / large language model providers in order to generate responses.
- The assistant's responses are generated automatically and may contain errors, omissions, or inaccuracies. You should not rely on the assistant for legal, financial, medical, or other professional advice.
- Shop Owners are responsible for the accuracy of product information supplied to the assistant and for any commitments the assistant makes on their behalf.
- Use of WhatsApp is also subject to WhatsApp's own terms of service, which we do not control.
9.Acceptable use
You agree not to use the Service to:
- List, sell, or solicit goods or services that are illegal in Ghana, including weapons, controlled substances, counterfeit goods, or content that infringes intellectual-property rights.
- Engage in fraud, money laundering, or any deceptive practice.
- Harass, threaten, or abuse other users or our staff.
- Send unsolicited bulk messages, spam, or content that violates anti-spam regulations.
- Interfere with the operation of the Service, attempt to bypass security controls, reverse-engineer the Platform, or scrape data without permission.
- Upload malware, viruses, or any code intended to harm or interfere with the Service or other users.
- Use the Service to violate the privacy or data-protection rights of another person.
10.Intellectual property
The Platform, including its software, design, branding, and trademarks, is owned by Crimond Enterprise and its licensors and is protected by intellectual-property laws. Except for the limited rights granted to you in these Terms, no rights are granted to you in respect of our intellectual property.
You retain ownership of your User Content. By submitting User Content to the Platform, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, display, and transmit that content as required to operate, improve, and promote the Service.
11.User content
You represent and warrant that:
- You own or have all necessary rights to submit your User Content and to grant the licence described above.
- Your User Content does not infringe any third party's intellectual-property, privacy, publicity, or other rights.
- Your User Content is not unlawful, misleading, defamatory, obscene, or otherwise objectionable.
We may, but are not obliged to, review, moderate, or remove User Content that we reasonably believe violates these Terms or applicable law.
12.Third-party services
The Service relies on, and may interoperate with, third-party services such as payment providers, messaging platforms, AI providers, SMS gateways, and cloud-hosting providers. Your use of those third-party services is subject to their own terms and policies. We are not responsible for the acts or omissions of third parties or for the availability, accuracy, or reliability of their services.
13.Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.
We do not warrant that the Service will be free of errors, that defects will be corrected, or that the Service or its servers are free of viruses or harmful components. We do not endorse, guarantee, or assume responsibility for any goods or services advertised, listed, or supplied by Shop Owners.
14.Limitation of liability
To the maximum extent permitted by law, Crimond Enterprise, its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of the Service.
Our total aggregate liability to you under or in connection with these Terms in any twelve-month period will not exceed the greater of (a) the total fees paid by you to us in that period or (b) GHS 500. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
15.Indemnity
You agree to indemnify, defend, and hold harmless Crimond Enterprise and its directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- your breach of these Terms;
- your violation of any law or the rights of any third party;
- in the case of Shop Owners, the goods or services you offer through the Platform;
- your User Content.
16.Suspension & termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe that:
- You have breached these Terms;
- Your use exposes us, other users, or third parties to legal or security risk;
- We are required to do so by law or by a competent authority.
You may close your account at any time by contacting us at notifications@ustreamline.com. Closure does not relieve you of obligations incurred before closure (including outstanding payments, chargebacks, and pending Orders). Sections that by their nature should survive termination (including Sections 7, 10, 11, 13, 14, 15, and 18) will survive.
17.Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, notify you through the Service or by SMS, WhatsApp, or email. Your continued use of the Service after the effective date of any update constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
18.Governing law & disputes
These Terms are governed by, and construed in accordance with, the laws of Ghana. Subject to applicable law, you and we agree that the courts of Ghana shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the Service.
Before commencing formal proceedings, the parties will attempt in good faith to resolve any dispute through informal negotiation by contacting each other at the contact details set out in Section 19.
